1. The Main Question Involved In This Special Appeal Is, Whether The Procedure Of Elections Of Committee Of Management Of The DAV Intermediate College, Meerpur, District Allahabad (the College) Prescribed In The Bye-laws Of The Aryan Educational Trust (the Society) Is In Conflict With The Scheme Of Administration Of The College.

THE FACTS
2. The Society Is Registered Under The Societies Registration Act. At Present, It Runs Three Institutions Namely, A Music School, A Junior High School, And The College. It's Bye-laws Provide Not Only Regarding The Elections Of The Executive Committee Of The Society But Also Of The Committees Of Management Of Different Institutions Run By It.

3. In The Bye-laws Of The Society, The Procedure Prescribed For The Elections Of The Committees Of Management Is A Kind Of Indirect Election. The Members Of The Society Elect 25 Member Executive Committee Of The Society. This Executive Committee Elects The Committees Of Management Of Different Institutions Among Themselves.

4. The Undisputed Election Of The Committee Of Management Of The College Was Held On 28.10.2007 In Accordance With The Procedure Provided In The Bye-laws Of The Society. In This Elections, Sri Virendra Kumar Srivastava (the Appellant) Was Elected As The Manager Of The College.

5. According To The Appellant, The Next Election Of The Committee Of Management Was Hold On 23.10.2010 In Which The Appellant Was Again Elected The Manager. The Papers Were Also Sent To The District Inspector Of Schools, Allahabad (the DIOS) On 28.10.2010 For Granting Recognition.

6. According To Sri Pankaj Jaiswal (the Contesting Respondent), The Elections Were Held On 14.2.2010 In Which He Was Elected The Manager Of The College. He Also Sent Papers To The Assistant Registrar As Well As To The DIOS To Recognise His Elections.

7. It Appears That Some Inquiry Was Conducted And A Report Dated 13.5.2010 Was Submitted That The Elections Were Not Held According To The Scheme Of Administration Applicable To The College. On The Basis Of This Report, An Order Was Passed By The State Government On 22.6.2010 Superseding The Committee Of Management Of The College.

8. The Appellant Filed Writ Petition No. 37372 Of 2010 Against The Aforesaid Order Of The State Government. It Was Allowed On 10.12.2010 On The Ground That The State Government Had No Power To Supersede The Committee Of Management.

9. Thereafter, The DIOS Passed Two Orders On 4.1.2011:
By Order Number 22836, The Dispute Regarding The Committee Of Management Was Referred To The Regional Level Committee, Allahabad (the RLC); And
By The Order Number 22837, The Single Operation Of The Account Was Ordered.

10. The Appellant Filed Writ Petition No. 2324 Of 2011 Against The Order Of Single Operation Of The Accounts Of The College (order Number 22837 Dated 4.1.2011). In This Writ Petition, An Interim Order Was Passed On 17.1.2011. Subsequently, The Order Of Single Operation Was Withdrawn On 5.2.2011. Thereafter, The Writ Petition No. 2324 Of 2011 Was Dismissed As Infructuous On 12.7.2011.

11. The RLC By Order Dated 3.4.2011 Did Not Recognise Either Of The Elections. The Elections Of The Appellants Were Not Accepted On The Ground That:
The Scheme Of Administration Overrides The Bye-laws Of The Society;
The Election Contemplated In The Scheme Of Administration Is By Members Of The Society And Not By The Executing Committee Of The Society As Provided In The Bye-laws Of The Society;
The Elections Have Been Conducted According To The Bye-laws Of The Society But Not According To The Scheme Of Administration.

12. On The Basis Of The Aforesaid Findings, The RLC Directed:
The DIOS To Hold The Elections Within Two Months; And
The Associate District Inspector Of Schools, Allahabad, (the ADIOS) To Manage The College In The Meantime. However, He Was Neither Supposed To Take Any Policy Decision Nor Transfer The Property Of The College.

13. Against The Aforesaid Order Of The RLC, The Appellant Filed Writ Petition No. 18635 Of 2012. It Was Dismissed On 20.4.2012. Hence, The Present Appeal.

POINTS FOR DETERMINATION
14. We Have Heard Sri Ashok Khare And Sri Shailendra, Counsel For The Appellant; The Standing Counsel For The State Of UP And Its Officials; And Sri KN Tripathi And Sri Amit Shukla Counsel For The Contesting Respondent. The Following Points Arise For Determination In The Case;
(i)Whether There Is Any Conflict Between The Scheme Of Administration And The Bye-laws Of The Society In Regard To Holding Of Elections Of Committee Of Management Of The College;
(ii)Whether The Elections In Question Held By The Appellant Are Invalid;
(iii)In Case The Answer To The Aforesaid Two Points Is Against The Appellant, Then Should The Appellant Be Permitted To Continue To Manage The College Till The Fresh Elections Are Held.

1st And 2nd POINTS: NO CONFLICT--ELECTIONS VALID
15. The Society Is The Parent Body; It Runs The College: It Alongwith Its Bye-laws Came Into Existence Much Before The Scheme Of Administration.

16. The Bye-laws Of The Society Not Only Provide The Procedure For Election Of Its Executive Committee But Also Method Of Elections Of The Committees Of Management Of The Institutions Run By The Society. In This Regard, Clauses, Number 11, 12(ka), 12(2) And 14 Of The Bye-laws Are Relevant And Are Reproduced As Appendix-1.

17. The Bye-laws State That:
The General Body Of The Society Will Elect 25 Member Executive Committee Of The Society {bye-law 11 And 12(ka)} For Period Of Three Years;
The Executive Committee Will Elect Committee Of Management Of The College From Amongst The Executive Committee Members {bye-laws 12(2) And 14}.

18. The Intermediate Education Act, 1921 (the Act) Governs The Recognised Colleges Imparting Education Up To 12th Class. Section 16-A Of The Act Is Titled 'Scheme Of Administration' And Provides For A Scheme Of Administration For Every Educational Institution Recognised Under The Act. For The Controversy Before Us, Clauses 5(C), 7, And 24 Of The Scheme Of Administration Are Relevant And Are Reproduced As Appendix-2.

19. Clause 24 Of The Scheme Of Administration Provides That In Case Of Conflict, The Provisions Of This Scheme Of Administration Shall Prevail Over Any Rules/ Bye-laws/ Regulations Of The Society. There Is Also No Dispute Between The Parties That In Case Of Conflict, Scheme Of Administration Shall Override The Bye-laws Of The Society. However, The Parties Disagree On The Interpretation Of Clause 5(C) Of The Scheme Of Administration.

20. Clause 5(C) Of The Scheme Of Administration Provides That:
(i) The Committee Of Management Of The College Shall Be Elected By The Society Amongst The Members Of The Society;
(ii). The Three Ex-officio Members (i.e. The Principal And The Two Teachers) Shall Not Take Part In The Election Of The Office-bearers.

21. The Dispute Among The Parties Is Regarding Interpretation Of The First Condition Mentioned In The Preceding Paragraph. Both Like To Read It In Their Own Way:
The Appellant Prefers To Read It As 'the Committee Of Management Shall Be Elected By The Executive Committee Of The Society'; Whereas,
The Contesting Respondent Likes To Read It As 'the Committee Of Management Shall Be Elected By The General Body Of The Society'.
(The Words That The Parties Are Trying To Read Are Printed In Italics).

22. Both Sides Are Trying To Read Certain Words In The Provision That Are Not There. The Provision Does Not Specifically State Either Of The Interpretation Suggested By The Parties. However, In Case--
The Version Of The Appellant Is Accepted Then There Is No Conflict Between The Two And The Elections Held According To Bye-laws Of The Society Are Valid;
The Version Of The Contesting Respondent Is Accepted Then Clause 5(C) Of The Scheme Of Administration Is In Conflict With Clauses Providing Elections In The Bye-laws Of The Society. Then, In View Clause 24 Of The Scheme Of Administration, Elections Cannot Be Held By The Executive Committee Of The Society And The Election Of The Appellant Becomes Invalid.

23. Apart From Legal Arguments Both Have Their Own Way Of Supporting Their Interpretation:
According To The Appellant, The Executive Committee Of The Society Has Been Electing The Office Bearers Of The Committee Of Management For Last 40 Years And This Is Interpretation Which Is Accepted To Everyone And It Should Be Accepted;
According To The Contesting Respondent, Merely Because Some Illegality Was Committed In The Past Does Not Mean That The Illegality Should Be Continued. The Illegality Should Be Corrected As Soon As It Is Pointed Out.

24. Article 19(1)(c) Of The Constitution Guarantees Rights To Every Citizen To Form Association. Undoubtedly, Formation Of A Society Is Also An Exercise Of That Constitutional Right. The Right To Form Association Also Includes Right To Lay Down Method Of Elections.

25. In This Case, Method Of Elections Have Been Laid Down In The Bye Laws. The Scheme Of Administration Was Framed Subsequently. In Case The Members Wanted To Differ From This Method Then They Could Specifically Provide In The Scheme Of Administration. The Fact That Different Method Has Not Been Provided In The Scheme Of Administration Means That They Have Accepted The Method Of Elections Prescribed In The Bye-laws.

26. There Is No Specific Provision In The Scheme Of Administration Or The Act Or The Rules Or Regulation Framed Thereunder That Prohibits The Indirect Method Of Selecting Committee Of Management Of The College As Prescribed In The Bye-laws Of The Society.

27. This May Be Considered From Another Angle.

28. The Executive Committee Of The Society Is Elected By The General Body Of The Society. Thereafter, It Elects The Committee Of Management Of The College. One Can Say, The Election Of Committee Of Management Of The College Is In Two Tiers Or Indirect Elections By The General Members. But To Say That General Members Of The Society Have No Say In The Elections, Is Not Correct.

29. In Our Opinion,
Unless, There Is Specific Provision In The Scheme Of Administration, The Method Of Election As Provided In Clause 14 Of The Bye-laws Of The Society Cannot Be Ignored;
It Cannot Be Said That The Scheme Of Administration Prohibits The Election Procedure Provided In The Bye Laws.

30. In View Of Above, The Finding Recorded By The RLC Invalidating The Elections Of The Appellant And The Order Of The Single Judge Upholding It Are Not Correct. They Are Set Aside.

3rd POINT: NOT NECESSARY TO DECIDE
31. In View Of Our Decision On The First And Second Points, The Third Point Has Become Academic: We Decline To Decide It.

A CLARIFICATION
32. There Is Dispute Among The Parties Regarding Term Of Committee Of Management Of The College: The Appellant Claims It To Be Three Years; Whereas, The Contesting Respondent Claims It To Be One Year. Clause 7 Of The Scheme Of Administration Is Relevant For Deciding This Question.

33. We Have Neither Expressly Nor Impliedly Decided The Dispute Regarding The Term Of The Committee Of Management Of The College. In Case This Question Is Ever Raised Then It Should Be Decided On Its Own Merit Without Being Influenced By Any Observation In This Judgement.

CONCLUSIONS
34. Our Conclusions Are As Follows:
(a) The Scheme Of Administration Does Not Prohibit Holding Of Elections By Executive Committee As Provided In The Bye-laws Of The Society;
(b) The Election Held As Prescribed Under The Bye-laws Of The Society Is Valid;
(c) The Election Of Committee Of Management Of The College By The Executive Committee Of The Society Is Also An Election By General Body Though In Two Tiers;
(d) The Elections Can Not Be Set Aside On The Ground That They Were Held By The Executive Committee Of The Society And Not Directly By The General Members Of The Society.

35. In View Of Our Conclusions, The Order Of The Single Judge Dated 20.4.2012 And The Part Of The Order Of The JDE Invalidating The Election Of The Appellant Held On 23.10.2010 Are Set Aside. The Special Appeal Is Allowed.

Rule 11, 12 (1) (ka), 12(2) And 14 Of The By Laws Of The Society Are As Follows:

११. महासभा के कर्तव्य: (१) महासभा प्रति तीसरे वर्ष इस न्यास के सम्पूर्ण कार्य संचालन एवं प्रशासन हेतु २५ सदस्यों की एक कार्यकारिणी समिति का गठन निर्वाचन द्वारा करेगी। जिसमें कम से कम १७ सदस्य आर्य सभासद होंगे तथा शेष ८ सदस्य अन्य आजीवन अथवा साधारण सदस्यों में से होंगे। इसका कार्यकाल ३ वर्ष अवधि का होगा। यह निर्वाचन समिति अपनी बैठक ममें अपने पदाधिकारियों का निर्वाचन करेगी। इस कार्यकारिणी समिति के जो पदाधिकारी निर्वाचित होंगे वही महसभा के भी पदाधिकारी होंगे।
(२) प्रतिवर्ष महासभा की एक अथवा अनेक एवं आवष्यकतानुसार नैमित्तिक सभा का आयोजन करना व बहुमत से विषयों पर निर्णय लेना।
(३) संस्था के उद्देश्यों एवं लक्ष्यों की पूर्ति तथा सुरक्षा करना।
(४) संस्था के लिए सम्पत्ति क्रय व २/३ बहुमत से विक्रय करना तथा सम्पत्ति के कार्यकारिणी समिति द्वारा प्रबन्ध पर नियंत्रण एवं सर्वेक्षण रखना।
(५) संस्था एवं स्थापित विद्यालयों एवं महाविद्यालयों के नियमों में कार्यकारिणी समिति द्वारा प्रस्तावित संशोधन , परिवर्तन एवं परिवर्धन की स्वीकृति अपनी विशेष नैमित्तिक सभा में उपस्थित २/३ बहुमत से प्रदान करना अथवा अस्वीकार करना।
(६) संस्था एवं विद्यालय एवं महाविद्यालय की अर्थिक वार्षिक रिपोर्ट तथा आय-व्यय लेखा जोखा व प्रगति पर विचार करना।
(७) सभी बैठकों में अध्यक्ष ही सभापति का पद ग्रहण करेगें। उनकी अनुपस्थिति में उपाध्यक्ष तथा दोनों की अनुपस्थिति में किसी भी उपस्थित वरिष्ठ सदस्य को उस बैठक का सभापति चुना जा सकता है।
(८) सभी बैठकों में सम्पन्न कार्यवाही मंत्री द्वारा एक रजिस्टर में अंकित की जायेगी जिस पर मंत्री के हस्ताक्षर होगें और जो (निर्वाचन छोड़कर) अगली बैठक में अनुमोदित होकर अध्यक्ष अथवा उपाध्यक्ष अथवा उपस्थित सभापति के द्वारा अनुमोदित होकर सह हस्ताक्षरित होगी।
(९) सोसायटीज रजिस्ट्रेशन ऎक्ट के प्राविधानों मे वर्णित महा सभा सम्बंधी सभी कर्तवय व अधिकार इस महासभा में निहित होगें।

१२- कार्यकारिणी समिति : (क) गठन - संस्था की एक २५ सदस्यों की कार्यकारिणी समिति होगी। जिसका निर्वाचन व गठन प्रति तीसरे वर्ष संस्था की महासभा के विशेष आहुत निर्वाचन अधिवेशन में सम्पन्न होगा जिसमें कम से कम १७ सदस्य आम सभासद होगें। इसका कार्यकाल ३ वर्ष अवधि का होगा।

(२) संस्था द्वारा स्थापित अथवा संचालित सभी विद्यालयों, महाविद्यालयों तथा संस्थानों एवं वाचनालयों आदि के हेतु एक अथवा एक से अधिक अलग प्रबंध समितियों का कार्यकारिणी के सदस्यों मे से निर्वाचन द्वारा गठन करना।

१४- विद्यालयीय प्रबंध समितियां :- (क) गठन (१)- संस्था के अंतर्गत संचालित विद्यालय जिन पर उत्तर प्रदेश शिक्षा अधिनियम अथवा उत्तर प्रदेश बेसिक शिक्षा अधिनियम लागू है, के प्राविधानों के अनुसार एक अथवा अनेक प्रबंध समितियों का गठन इस संस्था की कार्यकारिणी समिति के २५ सदस्यों द्वारा होगा। प्रबंध समिति के सदस्यों की संख्या सम्बन्धित अधिनियम अथवा पर नियम के अंतर्गत निर्धारित सीमा अनुसार होगी। जिसमें उपरोक्त २५ सदस्यों में से ही निर्वाचन होगा। प्रबंध समितियों के पदाधिकारियों का निर्वाचन सम्बन्धित प्रबंध समितियां स्वयं करेगी।
(२) संस्था द्वारा संचालित अन्य ईकाइयों के लिए अलग-अलग नौ (९) सदस्यों की प्रबंध् समिति का गठन संस्था की कार्यकारिणी की समिति के द्वारा होगा जिसमें संस्था के अध्यक्ष पदेन अध्यक्ष व सचिव पदेन सदस्य व शेष ७ सदस्य कार्यकारिणी के सदस्य में से ही निर्वाचित होगें।
(३) संस्था द्वारा संचालित ईकाइयों की प्रबंध समिति के पदाधिकारियों- अध्यक्ष, उपाध्यक्ष, प्रबंधक, सह-प्रबंधक एवं कोषाध्यक्ष का निर्वाचन अध्यक्ष को छोङ़कर जो पदेन होगा इन्ही समितियों के सदस्यों द्वारा स्वयं किया जायेगा। इनका कार्यकाल भी तीन वर्ष का होगा। हर इकाई का खाता किसी स्थानीय राष्ट्रीयकृत बैंक या डाकखाने में रखा जायेगा तथा सम्बन्धित प्रबंधक एवं कोषाध्यक्ष के संयुक्त हस्ताक्षरों से संचालित होगा। इन इकाईयों से सम्बन्धित नियम- उपनियम आदि संस्था की कार्यकारिणी समिति द्वारा अनुमोदित होगें।
Appendix-2

Clause 5(C), 7 And 24 Of The Scheme Of Administration Of The College Are As Follows:

5(C) - Ordinary Member: The Office-bearers And The Ordinary Members Of The Committee Of Management Shall Be Elected By The Society Amongst The Members Of The Society. The Three Ex-officio Members (i.e. The Principal And The Two Teachers) Shall Not Take Part In The Election Of Office-bearers.

7: TERM OF MEMBERS: The Term Of Office Bearers And Members Other Than Ex-officio Members Shall Be One Year From The Date They Are Elected Provided That The Term Of Every Office Bearer Shall Be Deemed To Have Continued Till His Successor Is Elected.
Note: Amended And Substituted The Word 'three' In Place Of 'one' In Line 2 Of Para 7 Of The Scheme As Per Order No. 402-404 Dated 8.4.67 The Deputy Inspector Of Education, Chaturth Mandal, Allahabad.


24: CONFLICT OF PROVISIONS: In Case Of Any Conflict Between The Provisions Of This Scheme And Those Of Any Other Rules/ By Laws/ Regulations Of The Society Or The Institution, Only The Former Shall Prevail.
